North Peak Consulting services are delivered through the legal entity Topholm Group International, registered in Romania, where applicable. These Terms apply to all services provided by North Peak Consulting, unless a separate agreement has been signed. 

1. Scope of Services 

We provide digital marketing services, including but not limited to paid media management (e.g. Facebook & Instagram ads), strategic consulting, performance tracking, and reporting. Service scope is defined in individual client agreements. 

2. Agreements & Commitments 

All services are delivered according to a signed agreement or written confirmation between the client and North Peak Consulting. By proceeding with payment, the client acknowledges and agrees to the scope, pricing, and terms of the collaboration as discussed or documented. 

3. Fees & Invoicing Fees, 

payment terms, and invoicing schedules are defined in individual agreements. Delays in payment may result in paused service delivery. 

4. Termination 

Termination terms are outlined in individual agreements and must be communicated in writing (email is sufficient). 

5. Confidentiality 

Both parties agree to treat confidential information as such and not disclose any sensitive data or insights to third parties during or after the collaboration. 

6. Data & Access

 All advertising accounts, data, and performance results remain the property of the client. Upon termination, clients are responsible for removing access if relevant. 

7. Entity Transfer 

In case of legal entity changes (e.g. due to relocation or restructuring), service obligations and agreements may be transferred to another company operating under the North Peak Consulting brand. The client will be notified, and services will continue unchanged unless otherwise agreed. 

8. Disputes & Jurisdiction 

In the event of any disputes, the Parties will seek to resolve them promptly and professionally. Unless otherwise agreed in writing, the applicable law and jurisdiction shall be that of the country where the service-providing legal entity is registered. 

9. Acceptance of Terms 

9.1 By engaging with North Peak Consulting or making a payment, the Advertiser confirms acceptance of these Terms and Conditions, unless a separate written agreement has been signed. 

9.2 Where a separate agreement exists, its terms shall take precedence over these general Terms and Conditions. 

9.3 These Terms are subject to change. Updated versions will be communicated as necessary.
